Welcome to ChipHub! These Terms of Service (this "Agreement") govern your use of the document search and conversation service at chiphub.com. That service, the website and website domain name and any other linked pages, features, or content, and any services provided by Silicon Operations are the "Services". Please read this agreement carefully before accessing or using the Services. Each time you access or use the Services, you agree to be bound by this Agreement. If you do not agree to be bound by this Agreement, you should not access or use the Services. In addition, certain elements of the Services may be subject to additional terms of use. In the event that any of the additional terms of use governing such elements conflict with this Agreement, the additional terms will control.

If you are acting on behalf of an entity, such as a corporation, partnership, limited liability company or other entity, "you" refers to the entity, and you represent and warrant that you have power and authority to enter into this Agreement on behalf of the entity.

This Agreement is void where prohibited by law, and the right to access the Services is revoked in such jurisdictions.

Personal Information

Silicon Operations has a strict real name requirement for your user name. You agree that you will select for your user name the name by which you are known in your profession or occupation related to the semiconductor industry (your "real name").

For information regarding Silicon Operations’ treatment of personal information, please review Silicon Operations’ current Privacy Policy, which is hereby incorporated by reference. Your acceptance of this Agreement constitutes your acceptance and agreement to be bound by Silicon Operations’ Privacy Policy.

While the Services allow you to use artificial intelligence / large language models to search and converse with the documents you upload and other documents uploaded by other users, we do not use your Personal Information or User Submissions to train artificial intelligence / large language models.

Access to the Services

Basic Conditions

The Services are owned and operated by Silicon Operations. The Services are provided solely for your own use, and not for the use or benefit of any third party. Silicon Operations may change, suspend or discontinue all or any of the Services at any time. Silicon Operations may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability. Silicon Operations reserves the right, in its sole discretion, to modify this Agreement at any time by amending this Agreement in writing and providing notice through the Services. You shall be responsible for reviewing and becoming familiar with any such modifications. Your use of the Services following such notification constitutes your acceptance of the terms and conditions of this Agreement as modified.

Registration and Security

As a condition to using all or some aspects of the Services, you will be required to create a user account (your "Account") by registering with Silicon Operations. To register and create your Account, you must provide an email address, a password, and a user name. You agree that you will provide your real name for your user name.

You shall provide Silicon Operations with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of this Agreement, which may result in immediate termination of your account. Silicon Operations reserves the right, in its sole discretion, to refuse to establish an account. You shall be responsible for maintaining the confidentiality of your password and any other access credentials.

Persons Under 16; Your Right to Enter into a Contract

Silicon Operations does not knowingly collect or solicit personal information from anyone under the older of the age of 16 or the age of majority in their jurisdiction ("Minimum Age") or knowingly allow such persons to register for the Services. If you are under the Minimum Age, please do not attempt to register for the Services or send any information about yourself to us, including your name, address, telephone number, or email address. No one under the Minimum Age may provide any personal information to Silicon Operations or on the Services. In the event that we learn that we have collected personal information from a person under the Minimum Age without verification of parental consent, we will delete that information as quickly as possible. If you believe that we might have any information from or about a person under the Minimum Age, please email us at info@chiphub.com.

Your Basic Commitments

You represent and warrant to Silicon Operations that: (i) the individual entering into this Agreement has the authority to enter into this Agreement, including on behalf of you as an entity; (ii) all registration information you submit is accurate and truthful, including that your user name is your real name; and (iii) you will maintain the accuracy of such information. You certify that you are legally permitted to use and access the Services. You agree that you will not allow anyone to use your Account without your knowledge or permission, and that you take full responsibility for the selection and use of and access to the Services in connection with your Account.

Payments

Fees and Payment

The Services require a paid subscription, as described in our Fee Schedule. Silicon Operations reserves the right to change its Fee Schedule and to institute new charges at any time, upon notice to you, which may be sent by email or posted within the Services. Your use of the Services following such notification constitutes your acceptance of any new or increased charges. Changes in subscription fees will apply as of the end of your then-current subscription. Any fees paid hereunder are non-refundable.

Payment Processor

Silicon Operations uses one or more third-party payment processors (the "Payment Processors") to enable advertisers to pay for advertisements displayed on the Services. Silicon Operations’ current Payment Processor is Stripe. The processing of payments will be subject to the terms, conditions and privacy policies of the Payment Processors in addition to this Agreement. The terms and conditions of the current Payment Processor(s) may be found at:

Silicon Operations is not responsible for errors made by the Payment Processors, or otherwise in connection with the processing of transactions. You agree to pay and receive all payments in connection with the Services through the Payment Processors.

Current Payment Information

YOU MUST PROMPTLY UPDATE AND MAINTAIN THE ACCURACY OF ALL INFORMATION TO ENABLE THE COMPLETION OF YOUR TRANSACTION (SUCH AS A CHANGE IN BILLING OR PAYMENT ADDRESS, BANK ACCOUNT INFORMATION, CREDIT CARD NUMBER, OR CREDIT CARD EXPIRATION DATE), AND YOU MUST PROMPTLY NOTIFY US IF YOUR FORM OF PAYMENT IS CANCELED (E.G., FOR LOSS OR THEFT) OR IF YOU BECOME AWARE OF A POTENTIAL BREACH OF SECURITY, SUCH AS THE UNAUTHORIZED DISCLOSURE OR USE OF A CREDIT OR DEBIT CARD, BANKING INFORMATION, OR YOUR PERSONAL INFORMATION.

Services Content, Use and General Terms

Services License

Subject to your compliance with this Agreement, including the Privacy Policy, and any other policies or agreements referenced herein, Silicon Operations hereby grants to you a limited, non-exclusive, non-assignable, non-transferable, and revocable limited right and license to establish, access and use your Account with the Services.

Limited License to Chips Content

The Services and the contents thereof are owned by Silicon Operations and its licensors. The Services and the contents thereof are intended solely for the use of Services users and may only be displayed and used by you in accordance with the license to the Services above. All materials displayed or performed on the Services (including, but not limited to) text, graphics, articles, photographs, images, illustrations—also referred to in this Agreement as the "Content," and which includes User Submissions (as defined below)—are protected under the United States Copyright Act. You shall abide by all copyright notices, trademark rules, information, and restrictions contained in any Content, software or materials in the Services and shall not use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, create derivative works based on, perform, or in any way exploit, any of the Content, software, materials, or Services in whole or in part: (i) without the express prior written consent of the respective owners, and (ii) in any way that violates any third party right.

License of User Submissions to Chips

In the course of using the Services, you and other users may provide information which may be used by Silicon Operations in connection with the Services and which may be visible to other users. You understand that by posting information or content on the Services or otherwise providing content, materials or information to Silicon Operations or in connection with the Services (collectively, "User Submissions"), you grant Silicon Operations hereby is and shall be granted a non-exclusive, worldwide, royalty free, sublicenseable and transferable right to host, use, distribute, modify, copy, perform or display, translate, and create derivative works of your User Submissions only to the extent, and for the period necessary to provide the Services; however, Silicon Operations will only share your personal information in accordance with Silicon Operations’ Privacy Policy. The license granted to Silicon Operations in your User Submissions ends when your User Submissions are deleted from the Services. You can delete all of your User Submissions at once by deleting your Account as described under "Termination" below. You also hereby grant each user of the Services a non-exclusive license to access, search, and converse with your public User Submissions through the Services, and to download, use, reproduce, display and perform such User Submissions all as permitted through the functionality of the Services. You warrant that you possess all rights necessary to provide your User Submissions to Silicon Operations and to grant the rights above in connection with the Services. For clarity, the foregoing license grant to Silicon Operations does not affect your ownership of or right to grant additional licenses to the material in your User Submissions.

Trademarks

Silicon Operations retains all rights, titles and interests to its trademarks, logos and service marks ("Chips Trademarks") used and displayed in the Services. Other marks and names in or on the Chips Content may be third-party trademarks and service marks ("Third-Party Trademarks"). You agree that you will not in any manner damage the goodwill associated with the Chips Trademarks and/or the Third-Party Trademarks. You acknowledge and agree that any goodwill received from the use of any Chips Trademarks and/or Third-Party Trademarks will be for the sole benefit of Chips or the relevant Third-Party.

Content Disclaimers

You understand that all information publicly posted or privately transmitted through the Services is the sole responsibility of the person from which such content originated and that Silicon Operations will not be liable for any errors or omissions in any content. You understand that Silicon Operations cannot guarantee the identity of any other users with whom you may interact in the course of using the Services. You acknowledge that all Content accessed by you using the Services is at your own risk and you will be solely responsible for any damage or loss to any party resulting therefrom.

Under no circumstances will Silicon Operations be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred in connection with use of or exposure to any Content accessed, transmitted, or otherwise made available via the Services.

Code of Conduct

In connection with the use of the Services, you agree that you will not, and will not encourage or assist others to:

Submit or post any User Submissions which do not relate specifically and productively to the semiconductor industry, and which comply with applicable law and any contractual or other legal obligations by which you are bound;
decompile, reverse engineer, or otherwise attempt to obtain the source code of any element of the Services;
contribute, upload and/or distribute any material which infringes any third party intellectual property, privacy, or publicity rights;
contribute, upload and/or distribute any material that includes a person’s name, likeness, voice, image, biographical material, location, or any other identifying features ("Personal Content") without the written consent of the person associated with Personal Content;
contribute, upload and/or distribute any material that contains viruses, bugs, Trojan horses, or any corrupted files that can infiltrate the operation of the Platform and/or any other User’s computer;
impersonate another user on the Services, or otherwise misrepresenting your identity or affiliation, or allow another user to impersonate you on your Account;
contribute, upload and/or distribute any material that implies or states that you or the relevant material are endorsed by Silicon Operations;
use a spider, robot, or any other manual or automatic system to data-mine, scrape, data-crawl or index the Services in any capacity except as expressly permitted by the Services’ robots.txt file and/or access-rights metatags;
evade or disable any of the Services’ security or access controls, or access the Services’ functionality, servers, or any connected networks without authority to do so, or interfere with the functionality of any element of the Services, or use the Services to attempt any of the above with third party systems;
alter and/or remove any trademarks, proprietary marks or rights notifications owned by Silicon Operations, any third party, or any User;
access the Services for the purpose of obtaining data regarding or information from other users other than that made publicly available by the users and collected by you on an individual basis (i.e., not in bulk) in the course of ordinary commercial use of the Services; or
contact any User who has indicated that they do not wish you to contact them.

Silicon Operations wants the Services to be a positive experience for users. We have the right, but not the obligation, to:

Accept, reject, or remove any Content without notice.
Take any other action we determine to be appropriate in our sole and unfettered discretion.

You are responsible for all of your activity in connection with the Services. Silicon Operations reserves the right (but not the obligation), in its sole discretion, to determine whether you have violated this Code of Conduct or any other provision of these terms, and can suspend or deny your access to the Services in its sole and absolute discretion, without any notice to you.

Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, CHIPS CONTENT, AND ANY OTHER PRODUCTS OR SERVICES PROVIDED BY SILICON OPERATIONS ARE PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Indemnity

You will indemnify and hold Silicon Operations, its parents, subsidiaries, affiliates, officers, and employees harmless (including, without limitation, from all damages, liabilities, settlements, costs and attorneys' fees) from any claim or demand made by any third party or any dispute between you and a third party due to or arising out of your access to the Services, use of the Services, your violation of this Agreement, or the infringement by you or any third party using your account of any intellectual property or other right of any person or entity.

Limitation of Liability

Your interactions with organizations and/or individuals found on or through the Services are solely between you and such organizations and/or individuals. You agree that Silicon Operations shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such interactions. If there is a dispute between participants on this site, or between users and any third party, you understand and agree that Silicon Operations is under no obligation to become involved. In the event that you have a dispute with one or more other users, you hereby release Silicon Operations, its officers, employees, agents, and successors in rights from claims, demands, and damages (actual and consequential) of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes. If you are a California resident, you shall and hereby do waive California Civil Code Section 1542, which says:

"A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor."

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SILICON OPERATIONS, OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE WITH RESPECT TO THE SERVICES OR THE SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY (I) FOR ANY AMOUNT IN THE AGGREGATE IN EXCESS OF THE GREATER OF $100 OR THE FEES PAID BY YOU FOR THE SERVICES DURING THE 12-MONTH PERIOD PRECEDING THE APPLICABLE CLAIM; OR (II) FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER.

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN SILICON OPERATIONS AND YOU, AND SHALL APPLY TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW.

General

Third-party Websites

The Services may contain links to third party websites or services ("Third Party Services") that are not owned or controlled by Silicon Operations, or the Services may be accessible by logging in through a Third Party Service, as described more fully in our Privacy Policy. When you access Third Party Services, you do so at your own risk. You hereby represent and warrant that you have read and agree to be bound by all applicable policies of any Third Party Services relating to your use of the Services and that you will act in accordance with those policies, in addition to your obligations under this Agreement.

Silicon Operations has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any Third Party Services. In addition, Silicon Operations will not and cannot monitor, verify, censor or edit the content of any Third Party Service. By using the Services, you expressly relieve and hold harmless Silicon Operations from any and all liability arising from your use of any Third Party Website.

Termination

This Agreement shall remain in full force and effect while you use the Services. You may terminate your use of the Services at any time by deleting your Account. In order to delete your account, contact us at info@chiphub.com.

Silicon Operations may terminate or suspend your access to the Services or your account at any time, for any reason, and without warning, which may result in the forfeiture and destruction of all information associated with your account.

Silicon Operations may also terminate or suspend any and all Services immediately, without prior notice or liability, if you breach any of the terms or conditions of this Agreement. Upon termination of your account, your right to use the Services and any Content will immediately cease.

All provisions of this Agreement that, by their nature, should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.

Miscellaneous

The failure of either party to exercise, in any respect, any right provided for herein shall not be deemed a waiver of any further rights hereunder. Silicon Operations shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Silicon Operations’ reasonable control.

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.

This Agreement is not assignable, transferable or sublicensable by you except with Silicon Operations’ prior written consent. Silicon Operations may transfer, assign or delegate this Agreement and its rights and obligations without consent.

Both parties agree that this Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this Agreement.

No agency, partnership, joint venture, or employment is created as a result of this Agreement and you do not have any authority of any kind to bind Silicon Operations in any respect whatsoever. There are no third party beneficiaries to this Agreement.

Governing Law; Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of California without regard to the conflict of laws provisions thereof.

Any dispute arising from or relating to the subject matter of this Agreement shall be finally settled in the state and federal courts in Santa Clara County, California, and the parties consent to exclusive jurisdiction and venue therein.

You agree that any claim or cause of action arising from the use of the Services must be filed within one (1) year of the claim or cause of action arising.

Copyright Dispute Policy

Silicon Operations has adopted the following general policy toward copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA).

Procedure for Reporting Copyright Infringements

A physical or electronic signature of a person authorized to act on behalf of the copyright owner.
Specific identification of the copyrighted works or materials being infringed.
Identification of the infringing material and its location on the Services.
Contact information including address, telephone number, and email.
A statement of good faith belief that the use is not authorized by the copyright owner.
A statement requesting that Silicon Operations take action regarding the infringement.
A statement under penalty of perjury that the information is accurate.

Procedure to Supply a Counter-Notice

A physical or electronic signature of the content provider or user.
Identification of the material removed and the previous location of the material.
A statement that the material was removed due to mistake or misidentification.
Name, address, phone number, and email of the user submitting the counter notice.

If a counter-notice is received, Silicon Operations may restore the removed material within 10–14 business days unless the copyright owner files a legal action.
